The Competition Commission of India (CCI) has approved the acquisition of TCNS Clothing Co Limited by Aditya Birla Fashion and Retail Limited, according to a statement from the government. Aditya Birla Fashion and Retail Limited, which is part of the Aditya Birla conglomerate, is a listed company involved in the retailing of branded apparel, footwear, and accessories through various channels including retail stores, online platforms, and e-commerce marketplaces.
TCNS Clothing, also a listed company, is engaged in the manufacturing, distribution, and sale of women’s apparel, jewellery, footwear, and beauty products. The company operates under brands such as W, Aurelia, Wishful, Elleven, and Folk Song. In addition, TCNS Clothing is involved in wholesale cash and carry trading, including sales through franchisee outlets, in the aforementioned product categories.
The proposed combination entails Aditya Birla Fashion and Retail Limited acquiring 51% of the expanded share capital of TCNS Clothing Co Limited. The approval from the CCI allows the acquisition to proceed.
